Terms of Use

These terms govern your use of the EQAssure™ tool at chiselforge.com (the “Service”). Please read them carefully. By creating an account, accepting the in-app terms, or using the Service, you agree to these terms. If you are accepting on behalf of an organisation, you confirm you are authorised to bind that organisation.

The Service is operated by ChiselForge, a UK-based business currently completing incorporation as a UK limited company (“ChiselForge”, “we”, “us”). Our full registered details will be published on incorporation, and are available on request in the meantime.

1. The Service

ChiselForge helps internal audit functions understand the Global Internal Audit Standards (GIAS), self-assess their conformance, evidence it, prepare for an External Quality Assessment (EQA), and track improvement actions. The Service is provided to organisations and the users they authorise, and is intended for internal audit and governance professionals.

3. Accounts & eligibility

You must provide accurate account information and keep it up to date. You are responsible for activity under your account and for keeping your sign-in credentials secure; accounts are personal to each User and must not be shared. Tell us promptly of any unauthorised use. An account administrator manages Users and may add, remove or change access for their organisation.

4. Trials

We may offer a time-limited trial (currently up to 30 days, no card required). Trials are made available at our discretion and may be subject to approval before access is granted. Trial access may be limited in functionality, and we may modify, suspend or withdraw a trial at any time. Unless you subscribe, access ends when the trial period ends.

As between you and us, the Customer owns its Customer Data. You grant us the rights needed to host and process it solely to provide and support the Service. We handle personal data as described in our Privacy Policy; for the Customer Data your organisation enters and uploads we act as your processor, and business customers can request a Data Processing Addendum. You are responsible for ensuring you have the right to upload the content and evidence you provide, and for not uploading anything unlawful or that infringes others’ rights. You can export your data, and request deletion, as described in the Service and the Privacy Policy.

8. Licence to use the Service

Subject to these terms and (for paid access) payment of the applicable fees, we grant the Customer a limited, non-exclusive, non-transferable, revocable right for its authorised Users to access and use the Service for the Customer’s own internal audit and governance purposes during the subscription or trial term. No other rights are granted, by implication or otherwise.

9. Restrictions

Except with our prior written permission, you must not, in whole or in part: (a) copy, reproduce, republish, distribute or make the Service available to any third party (other than your authorised Users); (b) modify, adapt or create derivative works of it; (c) reverse engineer, decompile, disassemble or otherwise attempt to derive or reconstruct the source code, structure, logic, data model, methodology or algorithms; (d) extract, scrape or re-utilise its content or arrangement, including for any competing or comparable product; (e) resell, sub-license, rent or commercially exploit the Service; or (f) remove, obscure or alter any proprietary notice. These restrictions apply only so far as permitted by law, and do not restrict your use of your own Customer Data or your rights in respect of the Standards Content as published by The IIA.

10. Confidential methodology

The methodology, models, prompts, skills and source code used to create the Service are confidential and proprietary, disclosed (if at all) in confidence, and must not be used or disclosed beyond the permitted use above.

11. Acceptable use

You must use the Service lawfully and not: attempt to gain unauthorised access to it or to other customers’ data; probe or test its security without our written permission; disrupt or overload it; upload malware; or use it to store or transmit unlawful, infringing or harmful content. We may set reasonable limits to protect the Service and other customers.

12. No professional advice; no guarantee of conformance

The Service is general information and a self-assessment aid only. It is not professional, legal, audit or compliance advice, and it is not a substitute for the official Global Internal Audit Standards published by The IIA or for your own professional judgement. Conformance ratings, principle achievement and any readiness or report outputs reflect the information youenter; they do not constitute an independent assessment by ChiselForge and do not guarantee that your function conforms with the GIAS, will pass an EQA, or meets any legal or regulatory requirement. Responsibility for your function’s conformance and for any decisions you take remains with you.

13. Availability & support

We aim to provide a reliable Service but provide it on an “as available” basis. We may carry out maintenance, and may update, change or discontinue features. We provide reasonable support by email; we don’t commit to a specific response time unless separately agreed.

14. Warranties & disclaimers

The Service is provided “as is” and “as available”, without warranties of any kind, whether express or implied, to the fullest extent permitted by law — including any implied warranties of satisfactory quality, fitness for a particular purpose, accuracy or non-infringement. We do not warrant that the Service will be uninterrupted or error-free, or that outputs will meet your requirements. Nothing in these terms excludes rights you have as a consumer that cannot be excluded by law.

15. Limitation of liability

Nothing in these terms limits liability that cannot be limited by law (including liability for death or personal injury caused by negligence, or for fraud). Subject to that, we are not liable for indirect or consequential loss, loss of profits, revenue, goodwill, or loss or corruption of data; and our total liability arising out of or in connection with the Service is limited to the fees you paid for the Service in the 12 months before the event giving rise to the claim. 16. Suspension & termination

You may stop using the Service and cancel at any time. We may suspend or terminate access if you materially breach these terms (including non-payment or breach of sections 7–11), or where required for security, legal or operational reasons. On termination your right to use the Service ends; you will have a reasonable opportunity to export your Customer Data, after which we delete or retain it as set out in the Privacy Policy. Terms which by their nature should survive termination (including sections 7, 9, 10, 12, 14, 15 and 18) continue to apply.

17. Changes to these terms

We may update these terms from time to time. We’ll update the date above and, for significant changes, notify account holders or re-prompt acceptance within the Service. Continuing to use the Service after a change means you accept the updated terms.

18. Governing law & jurisdiction

These terms and any dispute relating to them are governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction. [Confirm governing law/jurisdiction.]

19. General

These terms (with the Privacy Policy and any order you place) are the entire agreement between us about the Service. If any provision is unenforceable, the rest continue in effect. A delay in enforcing a term is not a waiver of it. You may not assign these terms without our consent; we may assign them to a successor to our business. We are not liable for failures caused by events beyond our reasonable control.
